PURVEYOR AGREEMENT
This End User/Purveyor Agreement (the "Agreement") is made effective as of the date of signing by and between:
THE GREAT CHICKEN-N-EGG BARTER CO-OP, INC. ("Co-op") and _________________ ("Purveyor")
1. PURVEYOR PROGRAM TERMS
1.1 Program Overview
The Purveyor agrees to participate in the Co-op's End User Program to secure guaranteed egg allocation and price stability for a period ending December 31, 2028, regardless of enrollment date.
1.2 Participation Options
Standard Allocation Packages
- Weekly Case (80 Chickens): $4,000.00 Minimum Bid
- Daily Case (600 Chickens): $30,000.00
Premium Hedge Options (Sliding Scale per Bird)
- $50.00 per bird = $2.00 credit coupon value
- $55.00 per bird = $2.50 credit coupon value
- $60.00 per bird = $3.00 credit coupon value
- $65.00 per bird = $3.50 credit coupon value
- $70.00 per bird = $4.00 credit coupon value
Custom Allocation
- Custom Flock Size: _______ Chickens
- Selected Price per Bird: $_______ (from options above)
- Total Investment: $_______ (if availability allows)
1.3 Term
The term of this Agreement begins on the date of signing and ends on December 31, 2028, regardless of when the Purveyor enrolls. The first year's allocation may be prorated depending on enrollment date.
2. CO-OP OBLIGATIONS
2.1 Supply Responsibilities
The Co-op agrees to:
- Provide guaranteed egg production allocation
- Maintain appropriate production facilities
- Ensure biosecurity standards are met
- Deliver consistent quality product
- Maintain production and distribution records
2.2 Delivery & Allocation
The Co-op will provide guaranteed product allocation based on:
- Weekly Case: 1 case (360 eggs) per week
- Daily Case: 1 case (360 eggs) per business day (5 days/week)
- All allocations confirmed through blockchain-verified certificates
- Delivery specifications per separate logistics agreement
2.3 Dynamic Market Price Protection
The Purveyor's credit coupon value will be adjusted based on national average egg prices, creating a true hedge mechanism:
Base Floor Reference
- National average floor price reference: $4.75 per dozen
- Sliding scale adjustments at $0.50 increments above floor
Credit Coupon Valuation Based on National Average
- $4.75+ national average = $2.00 credit coupon (base rate)
- $5.25+ national average = $2.50 credit coupon
- $5.75+ national average = $3.00 credit coupon
- $6.25+ national average = $3.50 credit coupon
- $6.75+ national average = $4.00 credit coupon
Premium Hedge Protection
- Purveyors who select higher per-bird prices receive protection against market downturns
- Maximum coupon value limited to the national average price equivalent tier
- Example: $70 bird purchaser entitled to $4.00 coupons when prices are $6.75+, but receives $3.00 coupons if national average is between $5.75-$6.24
Coupon Value Adjustment Mechanism
- Coupon values are capped by the current national average price tier
- Actual coupon value may be lower than the maximum tier purchased if market prices don't reach that tier
- Higher initial investment provides potential for greater returns during high-price periods
- Blockchain-verified price calculations ensure transparency in all adjustments
3. PURVEYOR ACKNOWLEDGMENTS
The Purveyor acknowledges:
- This is a supply allocation and price protection agreement, NOT a financial investment
- Allocations are based on guaranteed production capacity
- The Co-op maintains care, custody and control of all birds and facilities
- No ownership rights to specific chickens or facilities are granted
- No right to visit or access facilities is provided without prior arrangement
- Allocation rights are non-transferable except as provided herein
4. PRODUCT SPECIFICATIONS
4.1 Quality Standards
- USDA Grade A Large Eggs or equivalent
- Compliance with all applicable food safety regulations
- Fresh product delivered within 72 hours of processing
- Consistent quality standards maintained throughout agreement term
4.2 Allocation Certificates
- Digital blockchain certificates verifying allocation rights
- Accessible through Purveyor's online dashboard
- Transferable only with Co-op approval and applicable fees
- Certificate redemption processes defined in operating procedures
5. RISK ACKNOWLEDGMENT
The Purveyor understands and acknowledges:
- Production estimates are firmly guaranteed but acts of God exceptions apply
- Market fluctuations may affect the comparative value of price protection
- Disease, environmental factors, and regulatory changes may affect operations
- Force majeure events may impact production and delivery capabilities
6. TERMINATION
6.1 Early Termination
- No refund of initial participation fee
- Remaining allocation rights forfeited
- Co-op may reassign allocation to other Purveyors
6.2 Program Completion
Agreement terminates automatically on December 31, 2028
7. TRANSFER PROVISIONS
7.1 Transfer Fee
Purveyor may transfer this Agreement to another qualified business with Co-op approval and payment of a $250 administrative fee.
7.2 Business Dissolution
In the event of Purveyor's business dissolution or bankruptcy, this Agreement may transfer to successor entity with Co-op approval.
8. GENERAL PROVISIONS
8.1 Entire Agreement
This document represents the complete agreement between parties regarding allocation rights.
8.2 Modifications
Changes must be in writing and signed by both parties.
8.3 Governing Law
This Agreement is governed by the laws of Ohio.
8.4 Electronic Communication
Purveyor consents to electronic communication for all notices and updates.
9. DISCLAIMERS
9.1 Production Guarantees
- Production guarantees are firm commitments subject only to force majeure exceptions
- Substitute product sourcing may be utilized in exceptional circumstances
- Force majeure exceptions apply per standard industry definitions
9.2 Not an Investment
This is a supply and price protection agreement, not an:
- Investment contract
- Securities offering
- Guaranteed financial return program
9.3 No Financial Advice
The Co-op does not provide financial, tax, or legal advice. Purveyor is encouraged to consult with professional advisors regarding participation.
9.4 Arbitration
Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
