THE GREAT CHICKEN-N-EGG BARTER CO-OP

MEMBER AGREEMENT

This Co-op Membership Agreement (the "Agreement") is made effective as of the date of signing by and between:

THE GREAT CHICKEN-N-EGG BARTER CO-OP, INC. ("Co-op") and _________________ ("Member")

1. MEMBERSHIP TERMS

1.1 Program Overview

The Member agrees to participate in the Co-op's chicken raising program by sponsoring a flock with a one-time payment for the care and maintenance of chickens (the "Flock") for a period ending December 31, 2028, regardless of enrollment date.

1.2 Initial Contribution

• Two (2) Chickens: $82.00
• Four (4) Chickens: $164.00
• Six (6) Chickens: $246.00
• Custom Flock Size: _______ Chickens at $41.00 per bird (if availability allows)

Member's Selected Contribution: $_______________

1.3 Term

The term of this Agreement begins on the date of signing and ends on December 31, 2028, regardless of when the Member enrolls. The first year's production may be prorated depending on enrollment date.

2. CO-OP OBLIGATIONS

2.1 Care Responsibilities

The Co-op agrees to:

• Provide professional care for the Member's Flock
• Maintain appropriate facilities
• Supply feed and veterinary care
• Monitor egg production
• Maintain production records

2.2 Coupon Credits (Coop$ons™)

The Co-op will provide Coop$ons™ credits based on:

• Estimated production: 250 eggs per chicken annually
• Credit rate: $2.00 per dozen eggs equivalent in Coop$ons™
• Delivery method: Digital credits delivered directly to Member's app
• Initial delivery: No later than December 15th annually
• Ongoing delivery: Approximately every 9 days once the program is fully operational
• Usage: Redeemable exclusively at participating stores through the app
• Nature: Coop$ons™ represent a non-cash barter exchange of equal service value

2.3 Market Price Adjustments

Credit values will be adjusted based on national average egg prices:

• Base credit rate: $2.00 per dozen when national average is $4.75 or higher
• Reduced to $1.75 per dozen when national average falls below $4.25
• Reduced to $1.50 per dozen when national average falls below $3.75
• Reduced to $1.25 per dozen when national average falls below $3.00
• Reduced to $0.75 per dozen when national average falls below $2.25

3. MEMBER ACKNOWLEDGMENTS

The Member acknowledges:

• This is a co-operative barter arrangement, NOT an investment
• Credits are based on estimated production
• The Co-op maintains care, custody, and control
• No ownership rights to specific chickens are granted
• No right to visit or access facilities is provided
• Credits are non-transferable except as provided herein

4. CREDIT DISTRIBUTION

4.1 Calculation Method

• Credits calculated based on monthly national average egg prices
• Annual credit payment equals number of dozens × applicable monthly rate
• Credits distributed once annually on December 15th
• Production year runs January through December

4.2 Coop$ons™ Delivery Method

• Via digital delivery directly to Member's app
• To Member's registered account in the app
• Subject to verification of account access and authentication
• No cash payments will be made under any circumstances

5. RISK ACKNOWLEDGMENT

The Member understands and acknowledges:

• Egg production estimates are approximations
• Actual production may vary due to factors beyond Co-op control
• Disease, environmental factors, and market conditions may affect returns
• No guarantees of specific returns are made or implied
• Force majeure events may impact operations and returns

6. TERMINATION

6.1 Early Termination

• No refund of initial contribution
• Remaining credits forfeited
• Co-op may reassign Flock

6.2 Program Completion

Agreement terminates automatically on December 31, 2028

7. TRANSFER PROVISIONS

7.1 Transfer Fee

Member may transfer this Agreement to another individual with Co-op approval and payment of a $25 administrative fee.

7.2 Death or Incapacity

In the event of Member's death or incapacity, this Agreement may transfer to Member's designated beneficiary or heir without fee.

8. GENERAL PROVISIONS

8.1 Entire Agreement

This document represents the complete agreement between parties.

8.2 Modifications

Changes must be in writing and signed by both parties.

8.3 Governing Law

This Agreement is governed by the laws of Ohio.

8.4 Electronic Communication

Member consents to electronic communication for all notices and updates.

9. DISCLAIMERS

9.1 Production Estimates

• Egg production estimates are approximations
• Actual production may vary
• Force majeure exceptions apply

9.2 Not an Investment

This is a co-operative barter arrangement, not an:

• Investment contract
• Securities offering
• Guaranteed return program

9.3 No Financial Advice

The Co-op does not provide financial, tax, or legal advice. Member is encouraged to consult with professional advisors regarding participation.

9.4 Arbitration

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
