BARN FLOCK PROGRAM TERMS & CONDITIONS

PARTICIPATION TERMS

1. NON-INVESTMENT DECLARATION

Participant explicitly acknowledges and agrees that participation in the Barn Flock Program is NOT an investment. This arrangement is strictly a barter sponsorship program whereby participants sponsor agricultural production in exchange for production rights and royalties. No ownership rights in any animals, equipment, or facilities are conveyed through participation.

2. PROGRAM OVERVIEW

The Barn Flock Program allows participants to sponsor a flock of 8,000 birds through a one-time payment in exchange for production royalties over a 36-month period. Participant receives production rights to a guaranteed allocation of eggs as detailed herein.

3. PARTICIPATION STRUCTURE

3.1 Sponsorship Configuration

• Barn Size: 8,000 birds standard configuration
• Production Guarantee: 1,872,000 eggs annually (5,200 cases of 360 eggs each)
• Contract Duration: 36 months from effective start date
• Royalty Structure: Customizable per-egg royalty as calculated through official program calculator

3.2 Production Allocation

• Daily Production: 20 cartons (equivalent to approximately 5,200 cases annually)
• Guaranteed Production: 1,872,000 eggs per year
• Performance Buffer: 128,000 eggs allocated to co-op operations annually

4. ROYALTY STRUCTURE

4.1 Royalty Calculation

• Per-Egg Royalty: As determined through bid process and documented in participant's contract
• Payment Schedule: Monthly, quarterly, or annual payment options available
• Verification: Blockchain-certified production records

4.2 Exchange Options

• Participants may sell their production allocation through the Exchange
• Daily market pricing determined through transparent bidding process
• Option to sell entire production allocation as a certificate in a single transaction

5. RISK ACKNOWLEDGMENT

Participant explicitly acknowledges:

• Agricultural production involves inherent risks including but not limited to disease, weather events, and market fluctuations
• No guaranteed financial returns are promised or implied
• The program involves agricultural sponsorship with royalty provisions, not an investment vehicle
• Past performance is not indicative of future results

6. PROGRAM LIMITATIONS

6.1 Transfer Restrictions

• Production rights may be transferred only with prior written consent
• Transfer fee of 3% of original sponsorship amount applies
• Co-op maintains right of first refusal on all transfers

6.2 Termination Provisions

• Early termination results in forfeiture of remaining production rights
• No refund of original sponsorship payment
• Force majeure provisions as detailed in Section 9

7. REPRESENTATIONS AND WARRANTIES

7.1 Participant Representations

• Participant is of legal age and sound mind to enter this agreement
• Participant understands this is NOT an investment
• Participant has reviewed and understood all program documents
• Participant is not relying on any representations outside this agreement

7.2 Co-op Representations

• Co-op will maintain appropriate facilities and operational standards
• Co-op will employ industry-standard biosecurity measures
• Co-op will maintain transparent production records
• Co-op will make good faith efforts to meet production targets

8. DISCLAIMERS

8.1 No Guarantees

• No specific financial return is guaranteed
• Agricultural operations are subject to variables beyond control
• Market conditions fluctuate and impact royalty values

8.2 Not a Security

• This program does not constitute a security offering
• No equity, debt, or ownership rights are conveyed
• This agreement establishes a barter-based sponsorship arrangement only

9. FORCE MAJEURE

Neither party shall be liable for failure to perform due to events beyond reasonable control, including but not limited to:

• Natural disasters
• Disease outbreaks
• Acts of government
• Civil unrest
• Supply chain disruptions
• Other unforeseeable circumstances making performance commercially impracticable

10. GOVERNING LAW

This agreement is governed by the laws of [STATE] without regard to conflict of law principles.

11. DISPUTE RESOLUTION

Any disputes arising from this agreement shall be resolved through:

• Good faith negotiation (30 days)

12. ACKNOWLEDGMENT

IMPORTANT NOTICE: Although participant agrees that participation is NOT an investment and represents a barter sponsorship arrangement, each participant should evaluate whether participation could cause financial harm. Do not participate if doing so would cause financial hardship. The Great Chicken-N-Egg Barter Co-op makes no promises of profit or return, and participants should view this as agricultural sponsorship with uncertain outcomes.
